These Terms and Conditions (“Terms”) govern the use of the services provided by ANGEV LTD (“Company”, “we”, “us”, or “our”). By accessing our website, engaging our services, or participating in any transaction, bidding, or procurement process, you (“Buyer”, “Seller”, or “User”) agree to be bound by these Terms.
- 1. Company Overview
ANGEV LTD operates as an Auto Broker, Auto Dealer, Importer, Exporter, Renewable Energy, and General Engineering Logistics and Training Services provider in Nigeria and internationally. The Company facilitates sourcing, bidding, procurement, and transaction support but may act either as an intermediary or direct seller depending on the transaction.
2. Scope of Services
Our services include but are not limited to:
• Auto brokerage and dealership services
• Import and export of vehicles and engineering equipment
• Bidding and procurement facilitation
• Logistics coordination and documentation support
• General engineering and training services
ANGEV LTD does not guarantee bid success unless explicitly agreed in writing.
3. Buyer Obligations & Down Payment Policy
3.1 Down Payment Requirement
• Buyers are required to pay 40% of the targeted purchase amount as a down payment before bidding, sourcing, or procurement activities commence.
• This payment confirms buyer intent and authorizes ANGEV LTD to act on the buyer’s behalf.
3.2 Application of Down Payment
• If a bid is successful, the down payment will be applied toward the total cost of the goods.
• If a bid is unsuccessful, the down payment will be refunded minus the Company’s service charges.
4. Refund Policy (Unsuccessful Bids)
• Refunds for unsuccessful bids will be processed after deducting applicable service charges for sourcing, bidding, administrative, and operational costs.
• Refund timelines are subject to verification processes and third-party payment systems.
• Service charges are non-refundable once services have been rendered.
5. Non-Refundable Policy (Successful Bids)
• Where a bid is successful, the 40% down payment becomes non-refundable.
• The buyer must complete payment of the outstanding balance within the agreed timeframe.
• Failure to complete payment may result in:
o Forfeiture of the down payment
o Cancellation of the transaction
o Possible restriction from future services
6. Service Fees
• Upon a successful bid or completed transaction, ANGEV LTD charges a 10% service fee based on the final purchase amount.
• This fee covers brokerage, negotiation, documentation, coordination, and transaction management.
• Service fees are separate from the cost of goods unless otherwise stated in writing.
7. Seller Terms
7.1 Seller Responsibilities
Sellers must:
• Provide accurate and complete information about goods
• Disclose defects, encumbrances, or legal issues
• Comply with Nigerian laws, customs, and export/import regulations
• Honour agreed pricing and bid commitments
7.2 Seller Paymentsstrong>
• Payments to sellers will be made only after verification of documentation, compliance, and transaction completion.
• ANGEV LTD reserves the right to delay or withhold payments in cases of dispute, non-compliance, or regulatory concerns.
8. Compliance With Nigerian Laws
All transactions are subject to applicable Nigerian laws and regulations, including but not limited to:
• Nigerian Contract Law
• Federal Competition and Consumer Protection Act (FCCPA)
• Customs and Excise Regulations
• Anti-Money Laundering (AML) and Counter-Terrorist Financing (CTF) laws
• Nigeria Data Protection Regulation (NDPR)
ANGEV LTD may conduct due diligence, identity verification, and compliance checks where required.
9. Cancellation & Dispute Resolution
• Buyers may not cancel a transaction after a successful bid.
• Disputes shall first be resolved amicably.
• Where unresolved, disputes shall be subject to Nigerian law, and the courts of the Federal Republic of Nigeria shall have exclusive jurisdiction.
10. Limitation of Liability
ANGEV LTD shall not be liable for:
• Market fluctuations or availability changes
• Actions or omissions of third-party sellers, logistics providers, or regulators
• Delays caused by customs, port authorities, or force majeure events
• Losses arising from buyer or seller misrepresentation
11. Privacy & Data Protectionstrong>
Personal and business information collected is processed in accordance with the Nigeria Data Protection Regulation (NDPR). We collect data to:
• Facilitate transactions and compliance
• Process payments and refunds
• Communicate transaction updates
• Meet legal and regulatory obligations
We do not sell personal data to third parties.
12. Termination of Services
ANGEV LTD reserves the right to suspend or terminate services if:
• Fraud or misrepresentation is suspected
• Policies are violated
• Legal or regulatory risks arise
13. Amendments
ANGEV LTD may update these Terms at any time. Continued use of our services constitutes acceptance of the revised Terms.
